These Terms of Service ("Terms") govern your access to and use of the MAIML platform operated by Preferred Data Corporation ("we," "us," or "our") at maiml.com. By accessing or using MAIML, you agree to be bound by these Terms. If you do not agree, do not use the platform.
MAIML provides a multi-tenant AI agent platform enabling businesses and channel partners to deploy, manage, and monitor AI agent teams. Services include agent template deployment, multi-tenant dashboard management, usage analytics, billing, white-label branding, and API access.
You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized access.
You agree not to use MAIML to: transmit malware or malicious content; attempt unauthorized access to our systems; violate any applicable laws or regulations; interfere with platform operations; or engage in any activity that damages the reputation or operations of MAIML or its users. We target 99.9% platform uptime measured monthly, excluding scheduled maintenance windows. Critical issues receive a response within 2 business hours. Standard support requests receive a response within 1 business day.
Agent deployments are billed at the published per-agent rate ($10 per agent per month) plus API cost pass-through. Channel partners may set their own pricing for their clients. Late payments may incur interest at 1.5% per month. Services may be suspended for accounts 60 or more days past due.
The MAIML platform, including all software, designs, agent templates, and documentation, is the intellectual property of Preferred Data Corporation. Your data remains your property. You grant us a limited license to process your data solely to provide the services.
Both parties agree to maintain the confidentiality of any proprietary or non-public information exchanged during the course of using the platform, including but not limited to API keys, client data, and business configurations.
We maintain strict multi-tenant data isolation using Row Level Security (RLS) at the database level. Your data is separated from every other customer. For channel partners, each client's data is further isolated within the partner's tenant. See our Privacy Policy and Data Processing Agreement for full details.
To the maximum extent permitted by law, MAIML's total liability for any claims arising from your use of the platform shall not exceed the amounts paid by you in the 12 months preceding the claim. We are not liable for indirect, incidental, special, or consequential damages.
You agree to indemnify and hold harmless Preferred Data Corporation from any claims, damages, or expenses arising from your use of the platform, violation of these Terms, or infringement of any third party rights.
Either party may terminate these Terms at any time. Upon termination, your access to the platform will be revoked and your data will be retained for 30 days before deletion, unless you request earlier deletion or data export.
These Terms are governed by the laws of the State of North Carolina, United States. Any disputes shall be resolved through binding arbitration in Guilford County, North Carolina.
We may update these Terms from time to time. Material changes will be communicated via email or through the platform. Continued use after changes constitutes acceptance.
